Please read the entire agreement carefully. WITHOUT LIMITATION, THIS AGREEMENT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES TO US FROM YOU, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

These terms of service (these “Terms”) are entered into by and between You (as defined below) and Rightjoin Studios LTD, a legal entity incorporated and existing under the laws of Cyprus with its registered address at Mykinon, 8, 1065, Nicosia, Cyprus. Rightjoin Studios LTD owns and operates the website influencemeter.ai and the ‘Influencemeter’ mobile applications (collectively, the “Services”) under the brand name “Influencemeter”. Hereinafter, Rightjoin Studios LTD, as the owner and operator of Influencemeter, may be referred to as “Influencemeter”, “We”, “Our”, or “Us”. These Terms include any documents they expressly incorporate by reference, and they govern Your access to and use (whether as a guest or a registered user) of www.influencemeter.ai and the Influencemeter mobile applications, including any products, applications, features, technologies, software, content, functionality, and services offered on or through Influencemeter, or that Rightjoin Studios LTD may offer in the future (the “Services”).

If access to and use of the Services is on behalf of a corporation, sole proprietorship, other company, government agency, or other entity, the person executing these Terms does so on behalf of that entity, and he or she represents and warrants that he or she has the authority to do so. If access to and use of the Services is by a minor, the person executing these Terms does so on behalf of that minor, and he or she represents and warrants that he or she is the parent or legal guardian of the minor; has the legal right to consent to these terms on behalf of the minor; and consents to these Terms on behalf of the minor; and agrees that the minor will be bound by these Terms. “You” refers to the company, other entity, or minor accessing and using the Services, or, if none of the foregoing applies, to the person executing these Terms.

The Services are offered and available to users who are 18 years of age or older. By agreeing to these Terms, You warrant that You are of legal age to form a binding contract with Rightjoin Studios where You reside or are located, and that You meet Rightjoin Studios's eligibility requirements. If You do not meet these requirements, You must not access or use the Services. If it appears that You may not be old enough to use Our Services, Your account may be disabled.

Please read the Terms carefully before You start to use the Services. By signing up to our Services or using our Services, You accept and agree to be bound and abide by these Terms and Our Privacy Policy which is incorporated herein by reference. If You do not want to agree to (or are unable to comply with) these Terms, including the Privacy Policy, You must not access or use the Services.

1. ACCESS TO AND USE OF THE SERVICES

1.1. Ownership of Intellectual Property in the Services

Rightjoin Studios LTD and its licensors own (i) the Services and (ii) the Services’ entire contents, features, and functionality, including but not limited to all information, software, data files, text, displays, images, video, and audio, and the design, selection, and arrangement thereof (the “Materials”). The Services and the Materials are protected by Cypriot and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Rightjoin Studios LTD name; the term Rightjoin Studios; the Influencemeter name; the Influencemeter logo and all related names, logos, product and service names, designs, and slogans are trademarks of Rightjoin Studios or its affiliates or licensors. You must not use such marks without the prior written permission of Rightjoin Studios.

1.2. Access to and Use of the Services and Materials

Upon Your acceptance of these Terms, Rightjoin Studios authorizes You to access and make Permitted Use (as defined below) of (a) the Services and (b) within the context of the Services, the Materials.

Except pursuant to Sections 1.3 and 2.2, Rightjoin Studios does not transfer or license to You any intellectual property right or other right, title, or interest in or to the Services, the Materials, any copies of the Services or the Materials, or any other asset. Rightjoin Studios reserves all rights not expressly granted by these Terms.

1.3. Permitted Uses

Provided that You comply with these Terms, Rightjoin Studios grants You a limited, nonexclusive, revocable, non-transferable, non-sublicensable license to do the following:

• Creating personal projects and non-commercial activities.
• Use the Materials and the Services as an educational tool
• Use the Materials and the Services for commercial purposes excluding the prohibited activities.

1.4. Prohibited Uses

You must not use the Services other than for lawful purposes and in accordance with these Terms. By way of example and without limitation, You must not:

• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of Materials.
• Access or use any part of the Services or any services or Materials available through the Services, for any use other than Permitted Uses.
• Use the Services or Materials for service bureau or time-sharing purposes or in any other way allow third parties to exploit them.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive any of the Services’ or Materials’ source code or data files, except where permitted by law.

2. USER CONTRIBUTIONS AND CONTENT

2.1. User Contributions and Uploaded Content

“User Contribution” refers to any content, including but not limited to designs, text, images, data, or other materials that You create, upload, post, submit, publish, display, or transmit through the Services.

You may also provide input to the Services (“Input”), and receive output generated by the Services based on such Input (“Output”). Input and Output are collectively referred to as “Content.” You are solely responsible for all Content You contribute or generate, and You represent and warrant that You have all necessary rights, licenses, and permissions to provide such Content and that such Content does not violate any applicable laws or these Terms.

2.2. Ownership, License, and Use of User Contributions and Content

Unless otherwise stated below, YOU HEREBY IRREVOCABLY ASSIGN TO RIGHTJOIN STUDIOS, AND RIGHTJOIN STUDIOS HEREBY ACCEPTS, ALL OF YOUR OWNERSHIP, RIGHT, TITLE, AND INTEREST IN AND TO EACH USER CONTRIBUTION.

Alternatively, if a full assignment is not applicable, YOU HEREBY GRANT TO RIGHTJOIN STUDIOS a non-exclusive, perpetual, irrevocable, fully paid, royalty-free, worldwide license to reproduce, create derivative works from, distribute, publicly display, publicly perform, use, make, have made, offer for sale, sell or otherwise dispose of, and import any User Contribution.

With respect to Content (as defined above), and to the extent permitted by applicable law:

• Input: You retain all rights, title, and interest in and to Input;

• Output: You own all rights, title, and interest in and to Output. RIGHTJOIN STUDIOS hereby assigns to You any right, title, and interest it may have in and to the Output generated for You.

Please note that due to the nature of the Services, Output may not be unique, and similar or identical Output may be provided to other users. The above assignment does not extend to other users' Output or any Output generated for or by third parties.

We may use your Content—including Input and Output—to operate, maintain, develop, and improve the Services; to comply with legal obligations; to enforce our terms and policies; and to ensure the security and integrity of the Services. If You do not wish for your Content to be used to improve the Services, You may opt out by following the instructions provided in the Help Center; however, opting out may affect the functionality and personalization of the Services.

2.3. Responsibility and Limitations Regarding Output

You acknowledge and agree that:

• Output may not always be accurate, complete, or current, and You should not rely on Output as a sole source of truth or factual information;

• Output should not be considered a substitute for professional advice;

• You are responsible for evaluating the accuracy and appropriateness of the Output for Your specific use case, including through human review where applicable;

• You may not use Output related to any social media profile or personality for purposes that could have a legal or material impact on that individual or entity, including but not limited to decisions concerning credit, employment, housing, insurance, education, legal matters, or healthcare. Furthermore, you may not use such Output in any commercial activities, including advertising, promotion, or resale, without obtaining prior written permission from the relevant social media profile or personality.

3. SUBSCRIPTIONS AND PAYMENT

3.1. Subscriptions

Rightjoin Studios offers certain paid Services through www.influencemeter.ai and Influencemeter mobile applications (“Subscription(s)”).

• Prices: All Subscription prices are subject to change without notice. The price charged for Services will be the price in effect at the time the order is placed.
• Payment Terms: If You choose to purchase a Subscription, You are required to provide valid, current, and complete payment information. You represent and warrant that all payment information You submit is accurate and that You are authorized to use the payment method provided. In the event You purchase a Subscription through a mobile application, payment information will be shared with and processed by third-party platform providers, specifically Google (for Android devices) and Apple (for iOS devices), in accordance with their respective terms and privacy policies.
• Billing: You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a monthly or yearly basis depending on the Subscription You select.
• Renewal: Your Subscription will automatically renew at the end of each Billing Cycle unless You cancel it or Rightjoin Studios cancels it. You may cancel Your Subscription renewal through Your account profile page.
• Refunds: Except when required by law, paid Subscription fees are non-refundable. For more information please read our Refund Policy.

4. GOVERNING LAW AND DISPUTE RESOLUTION

4.1. Governing Law

All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the laws of the Republic of Cyprus without giving effect to any choice of law or conflict of law provision.

4.2. Dispute Resolution

In the event of any dispute, controversy or claim arising out of or relating to these Terms, You and Rightjoin Studios agree to first attempt in good faith to negotiate the Dispute informally for at least thirty (30) calendar days before initiating any action.

Should the parties fail to reach a resolution, any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the rules of the courts of The Republic of Cyprus which Rules are deemed to be incorporated by reference into this clause. The language to be used in the arbitral proceedings shall be English.

5. DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY, AND INDEMNIFICATION

5.1. Disclaimer of Warranties

YOUR USE OF THE SERVICES, THEIR CONTENT, AND ANY ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES AND THEIR CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

5.2. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL RIGHTJOIN STUDIOS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES. For paid subscribers, the collective liability of Rightjoin Studios and its subsidiaries and affiliates shall not exceed the greater of €250 or the amount you have paid to Rightjoin Studios for your use of the services and materials during the 12 months before the incident giving rise to the liability.

5.3. Indemnification

You agree to defend, indemnify, and hold harmless Rightjoin Studios, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

6. GENERAL PROVISIONS

6.1. Changes to the Terms

Rightjoin Studios may amend these Terms at Our sole discretion from time to time by posting a revised version on the Rightjoin Studios website or making it available within the Service. Your continued use of the Service after the date the amended Terms are posted will constitute Your acceptance of the amended Terms.

6.2. Termination

The agreement between You and Rightjoin Studios runs for an indefinite term. Rightjoin Studios may unilaterally terminate these Terms at any time upon written notice to You. You may terminate these Terms with immediate effect by deleting Your account.

6.3. Notices

Any notice to be given hereunder by You to Rightjoin Studios shall be by email to legal@influencemeter.ai.

6.4. Entire Agreement

The Terms, including the Privacy Policy, constitute the sole and entire agreement between You and Rightjoin Studios regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

6.5. Your Comments and Concerns

This website is operated by Rightjoin Studios LTD. All other feedback, comments, requests for technical support, and other communications relating to the Services should be directed to: support@influencemeter.ai.
